Waiver of Claims with Conflict of Interest for Partners:
9.5 Waiver of Claims: In consideration of the mutual promises contained in this Waiver and the continued employment of the Parties agree as follows: 9.5.1 The Client(s) hereby releases and forever discharges the Service Provider, its officers, directors, employees, agents, representatives, and affiliates (collectively, the "Released Parties") from any and claims of conflict, whether known or unknown, arising out of or in connection with the services provided or the termination of the Service Agreement. 9.5.2 The Parties acknowledge that the acceptance of this Waiver indicates that both Parties recognize the potential for conflicts of interest to arise as a result of the engagement. Should either Party not accept the waiver, it is understood that the Service Provider may not be able to act on behalf of either Party, in order to avoid any potential conflicts of interest that may arise at a later stage. 9.5.3 This Waiver does not constitute an admission of liability by any of the Released Parties. The Parties agree that this Waiver is executed as a compromise of disputed claims and to avoid the costs and uncertainties of potential litigation. 9.5.4 The Client acknowledges that the decision to sign this Waiver has been made knowingly, voluntarily, and after having had the opportunity to seek independent legal advice. 9.6 Definition of Client in case of Dual Representation For the purpose of this terms of this Waiver "Client" is defined as follows: 9.6.1 In the context of Partners, the Principal Applicant shall be referred as the Client in the Agreement. 9.7 This definition holds true regardless of the party responsible for payment. Irrespective of the financial arrangement, the term "Client" as defined herein encompasses the respective party in each scenario. 9.8 In instances where the Service Provider engages in providing services involving the client, it is acknowledged that the Service Provider owes a duty to act in the best interests of its client. 9.9 By agreeing to the dual representation arrangement, the Client acknowledges that Provisas will exercise due diligence to ensure that the best interests of the respective clients are prioritized and represented fairly, maintaining a duty of care to all parties involved.

The Parties agree that this Waiver is executed as a compromise of disputed claims and to avoid the costs and uncertainties of potential litigation. 9.5.4 The Client acknowledges that the decision to sign this Waiver has been made knowingly, voluntarily, and after having had the opportunity to seek independent legal advice. 9.6 Definition of Client in case of Dual Representation For the purpose of the terms of this Waiver "Client" is defined as: 9.6.1 In the context of the Company Accreditation Application submitted to Immigration New Zealand, the term "Company/Employer" shall be construed to have the same meaning as "Client" as defined in this Agreement. 9.6.2 In the context of a Job Check Application to Immigration New Zealand, the "Company/Employer" shall be construed to have the same meaning as "Client" as defined in this Agreement. 9.6.3 In the context of Migrant Check/ Accredited Employer Work Visa to Immigration New Zealand, the particular employee/individual shall be construed as the meaning to Client in the Agreement. 9.7 This definition holds true regardless of the party responsible for payment. Irrespective of the financial arrangement, the term "Client" as defined herein encompasses the respective party in each scenario. 9.8 In instances where the Service Provider engages in providing services involving the company or employers, employees, partners as clients, it is acknowledged that the Service Provider owes a duty to act in the best interests of its client. 9.9 By agreeing to the dual representation arrangement, the Client acknowledges that Provisas will exercise due diligence to ensure that the best interests of the respective clients are prioritized and represented fairly, maintaining a duty of care to all parties involved.
